1. Introduction

Welcome to Fluxpa ("we," "our," or "us"). These Terms and Conditions ("Terms") govern your access to and use of the Fluxpa platform, website, mobile applications, and all related services (collectively, the "Platform").

By creating an account, accessing, or using any part of our Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy. If you do not agree with any part of these Terms, you must not use our Platform.

Fluxpa is a digital services platform that enables users to purchase airtime, mobile data, pay electricity and cable TV bills, fund betting wallets, buy exam pins, trade cryptocurrency and gift cards, access loans, and utilize virtual account services. All transactions are processed in Nigerian Naira (NGN) unless otherwise stated.

2. Definitions

For the purpose of these Terms, the following definitions apply:

• "Account" means your registered user profile on the Fluxpa Platform.
• "Wallet" refers to your electronic stored-value balance maintained on the Platform.
• "Virtual Account" means a unique bank account number generated for you to fund your Wallet.
• "Services" means all products, features, and functionalities offered through the Platform.
• "User," "you," or "your" means any individual or entity that accesses or uses the Platform.
• "Third-Party Providers" means telecommunications companies, electricity distribution companies, cable operators, betting companies, examination bodies, banks, and other service providers integrated with our Platform.
• "Transaction" means any purchase, payment, transfer, or exchange initiated through your Account.

3. Eligibility

To use Fluxpa, you must:

• Be at least 18 years of age or the age of majority in your jurisdiction.
• Be a resident of Nigeria or a jurisdiction where our Services are legally permitted.
• Have the legal capacity to enter into a binding contract.
• Provide accurate, complete, and current information during registration.
• Not have been previously suspended or removed from the Platform for violation of these Terms.

By using Fluxpa, you represent and warrant that you meet all of the foregoing eligibility requirements. We reserve the right to verify your identity and age at any time and to suspend or terminate your Account if you fail to meet these requirements.

4. Account Registration & Security

4.1 Registration

To access most features of the Platform, you must register for an Account. You agree to provide truthful, accurate, and complete information during the registration process and to update such information to keep it accurate and complete. You are limited to one Account per individual unless expressly authorized by us in writing.

4.2 Account Security

You are solely responsible for maintaining the confidentiality of your login credentials, including your password and any OTPs (One-Time Passwords) sent to your registered email or phone number. You agree to:

• Notify us immediately of any unauthorized access to or use of your Account.
• Ensure that you log out from your Account at the end of each session.
• Not share your credentials with any third party.

Fluxpa shall not be liable for any loss or damage arising from your failure to comply with these security obligations. Any activity occurring under your Account will be deemed to have been performed by you.

4.3 KYC Verification

We may require you to complete a Know Your Customer (KYC) process by submitting valid identification documents. Failure to complete KYC when requested may result in transaction limits, account suspension, or termination.

5. Our Services

Fluxpa provides a digital marketplace for the following categories of services:

5.1 Airtime & Data

You may purchase airtime top-up and mobile data bundles for all major Nigerian network providers (MTN, Glo, Airtel, 9mobile). Prices are determined by our pricing engine and are subject to change without prior notice.

5.2 Bill Payments

We facilitate payments for electricity (prepaid and postpaid) and cable TV subscriptions (DSTV, GOtv, Startimes). You are responsible for ensuring the accuracy of meter numbers, smart card numbers, and bouquet selections before confirming payment.

5.3 Betting Wallet Funding

You may fund wallets on registered betting platforms through Fluxpa. We are not responsible for the policies, odds, or operations of any betting company. All betting transactions are final.

5.4 Exam Pins

We sell examination scratch cards and e-pins for WAEC, NECO, JAMB, and other accredited bodies. Once a pin is delivered to your dashboard or email, it cannot be returned or refunded.

5.5 Airtime-to-Cash (A2C)

Our A2C service allows you to convert airtime to cash at rates displayed at the time of transaction. Instant and manual conversion options are available. We reserve the right to adjust conversion rates based on market conditions.

5.6 Cryptocurrency & Gift Cards

Fluxpa provides rates for buying and selling cryptocurrency and gift cards. Actual trading functionality is subject to additional verification. All crypto and gift card rates are indicative and may change before transaction confirmation.

5.7 Loans

Loan services, where available, are subject to separate loan agreements and eligibility criteria based on your transaction history on Fluxpa. Interest rates, tenure, and repayment terms are disclosed at the point of application.

5.8 Virtual Accounts

We may generate dedicated virtual bank account numbers for you to fund your Wallet. Funds transferred to your virtual account are automatically credited to your Wallet, subject to bank settlement timelines and applicable fees.

6. Payments, Fees & Wallet

6.1 Wallet Funding

Your Wallet can be funded via virtual account transfers, card payments, or other methods made available on the Platform. All funds are held in your Wallet as electronic value and do not accrue interest.

6.2 Pricing & Fees

All prices displayed on the Platform are in Nigerian Naira (NGN) and inclusive of applicable charges unless stated otherwise. We reserve the right to modify our pricing structure at any time. Changes will be effective immediately upon posting on the Platform.

6.3 Transaction Authorization

By confirming any transaction, you authorize us to deduct the corresponding amount from your Wallet or linked payment method. You are responsible for reviewing all transaction details before confirmation. Once a service purchase (airtime, data, exam pin, etc.) is completed, it is generally irreversible.

6.4 Failed Transactions

In the event of a failed transaction where your Wallet is debited, we will automatically reverse the amount to your Wallet within 24 hours. If a reversal does not occur within this timeframe, you must contact our support team with the transaction reference.

7. Virtual Accounts

Virtual accounts are provided through our banking partners. By using a virtual account, you agree that:

• The virtual account is solely for the purpose of funding your Fluxpa Wallet.
• We may assign, change, or deactivate your virtual account number at any time.
• A processing fee may apply to each deposit made via virtual account.
• You will not use the virtual account for illegal, fraudulent, or suspicious activities.
• We may suspend virtual account services if we detect unusual activity.

8. Refunds & Reversals

Due to the digital and instantaneous nature of most of our services, all sales are final. However, we may consider refunds or reversals under the following limited circumstances:

• Your Wallet was debited but the transaction failed and no automatic reversal occurred within 24 hours.
• A duplicate transaction occurred due to a system error on our part.
• You were erroneously overcharged due to a platform malfunction.

To request a refund, you must contact support within 7 days of the transaction, providing your transaction reference and a detailed explanation. We reserve the sole right to approve or decline refund requests.

9. User Conduct

You agree to use the Platform in a manner consistent with all applicable laws and regulations. Specifically, you agree to:

• Use the Platform only for lawful purposes and in compliance with these Terms.
• Provide accurate and truthful information at all times.
• Not impersonate any person or entity or misrepresent your affiliation with any person or entity.
• Not interfere with or disrupt the integrity or performance of the Platform.
• Not attempt to gain unauthorized access to any part of the Platform or its related systems.

10. Prohibited Activities

You are strictly prohibited from using Fluxpa for any of the following:

• Fraud, money laundering, terrorist financing, or any other illegal financial activity.
• Purchasing services on behalf of third parties for a fee without our express authorization.
• Using automated scripts, bots, or scrapers to access the Platform.
• Circumventing any security feature or access control measure.
• Uploading viruses, malware, or other harmful code.
• Engaging in activities that could damage, disable, or impair our servers or networks.
• Reselling, redistributing, or commercially exploiting any part of the Platform without written consent.

Violation of these prohibitions may result in immediate account suspension, forfeiture of Wallet balances, referral to law enforcement, and legal action.

11. Limitation of Liability

To the maximum extent permitted by applicable law, Fluxpa and its affiliates, officers, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with:

• Your access to or use of (or inability to access or use) the Platform.
• Any conduct or content of any third party on the Platform, including Third-Party Providers.
• Unauthorized access, use, or alteration of your transmissions or content.
• Errors, mistakes, or inaccuracies in the Platform content.
• Personal injury or property damage resulting from your use of the Platform.

Our total liability to you for any claim arising out of or relating to these Terms or the Platform shall not exceed the total amount you paid to us in the 30 days preceding the event giving rise to the liability.

12. Privacy & Data Protection

Your privacy is important to us. Our collection, use, and disclosure of personal data are governed by our Privacy Policy. By using Fluxpa, you consent to the collection and use of your information as described therein.

We implement industry-standard security measures to protect your data. However, no method of transmission over the Internet or electronic storage is 100% secure. While we strive to protect your personal information, we cannot guarantee its absolute security.

13. Termination & Account Deactivation

13.1 By You

You may deactivate your Account at any time through the settings page or by contacting support. Upon deactivation, your Account status will be changed to "Inactive," and you will no longer be able to log in until an administrator reactivates it. Wallet balances may be forfeited if not withdrawn prior to deactivation.

13.2 By Us

We reserve the right to suspend or terminate your Account immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms.
• Fraudulent, illegal, or suspicious activity.
• Extended periods of inactivity.
• Requests by law enforcement or government agencies.

Upon termination, your right to use the Platform will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive.

14. Dispute Resolution

Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall first be attempted to be resolved amicably through good-faith negotiations between you and Fluxpa within 30 days of written notice.

If the dispute cannot be resolved through negotiation, it shall be finally settled by arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act, Cap A18, Laws of the Federation of Nigeria, 2004. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement. The language of arbitration shall be English. The award of the arbitrator shall be final and binding on both parties.

15. Amendments

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 7 days' notice prior to any new terms taking effect, either by email or by posting a prominent notice on the Platform.

What constitutes a material change will be determined at our sole discretion. By continuing to access or use the Platform after those revisions become effective, you agree to be bound by the revised Terms.
